XGuard Global Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the XGuard platform, including websites, mobile applications, APIs, and related services (collectively, the “Platform”), operated by XGuard LLC (“XGuard,” “Company,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.
If you use the Platform on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Nature of the Platform
XGuard provides a technology marketplace platform that enables individuals and organizations seeking security-related services (“Clients”) to connect with independent security professionals and licensed security companies (“Security Personnel”).
XGuard does not provide security services.
XGuard:

does not employ Security Personnel
-
does not supervise or direct security operations
-
does not provide law enforcement services
-
does not guarantee the performance of security services
All security services are provided independently by third-party Security Personnel or licensed agencies.
3. Direct Relationship Between Clients and Providers
When a Client books a service through the Platform, the contractual relationship for the provision of security services is formed directly between the Client and the Security Personnel or agency.
XGuard acts solely as a technology intermediary facilitating discovery, booking, and payment processing.
XGuard is not a party to the service contract between Clients and Security Personnel.
4. Eligibility
Users must:

be at least 18 years of age

provide accurate information
-
comply with applicable laws
Security Personnel may be required to submit additional documentation, including identification, licenses, and certifications.
5. Independent Contractor Status
Security Personnel using the Platform operate as independent contractors or independent businesses.
Nothing in these Terms creates:

an employment relationship
-
partnership
-
joint venture
-
agency relationship
Security Personnel retain control over:
-
whether to accept service requests
-
pricing and service offerings
-
scheduling and availability
6. Licensing and Legal Compliance
Security Personnel are solely responsible for ensuring compliance with all applicable laws in the jurisdictions where they operate, including but not limited to:
-
licensing requirements
-
background checks
-
firearm permits
-
employment regulations
-
insurance obligations
XGuard may request documentation relating to licenses or certifications; however, XGuard does not independently verify or guarantee the validity of such documentation.
XGuard reserves the right to suspend or restrict accounts where compliance concerns arise.
7. Jurisdiction Restrictions
Certain jurisdictions regulate or restrict the provision of private security services.
Users agree that:

services may only be offered where legally permitted
-
local laws governing security services must be followed
-
XGuard may restrict or disable services in specific regions
8. Safety and Emergency Disclaimer
XGuard is not an emergency response provider.
In situations involving immediate danger or emergency conditions, users must contact local emergency services.
9. Weapons and Use-of-Force
Security Personnel are solely responsible for complying with all laws governing:

firearms
-
weapons possession
-
use-of-force regulations
XGuard does not authorize or supervise the use of weapons.
10. Insurance Requirements
Security Personnel are responsible for maintaining any insurance required by law, including but not limited to:
-
general liability insurance
-
professional liability coverage
-
workers’ compensation where applicable
11. Platform Fees
XGuard charges a technology platform fee for facilitating transactions through the Platform.
Unless otherwise stated:
-
XGuard receives a 30% platform commission
-
Clients incur a 3% service processing fee
-
Security Personnel incur a 3% service processing fee
XGuard may modify fees at its discretion by updating these Terms.
12. Payment Processing
Payments on the Platform are processed through third-party payment processors such as Stripe or other payment providers.
XGuard does not store full payment card details.
Users agree to comply with the terms of any third-party payment processor used by the Platform.
13. Background Checks and Identity Verification
Security Personnel may be subject to:

identity verification
-
background screening
-
license validation
By registering as Security Personnel, you authorize XGuard and its partners to perform such checks where permitted by law.
14. User Content
Users may upload content such as profiles, certifications, images, and communications.
Users represent that they own or have rights to the content they upload.
By submitting content, users grant XGuard a worldwide, non-exclusive license to use such content for operating the Platform.
15. Prohibited Conduct
Users may not:

violate applicable laws
-
misrepresent credentials
-
upload malicious software
-
engage in harassment or discrimination
-
impersonate others
-
use the Platform for fraudulent activity
XGuard may suspend or terminate accounts for violations.
16. Privacy and Data Protection
XGuard processes personal data in accordance with its Privacy Policy and applicable laws including:

General Data Protection Regulation (GDPR)
-
California Consumer Privacy Act (CCPA)
-
other applicable international privacy regulations
17. Indemnification
Users agree to indemnify and hold harmless XGuard and its affiliates from claims arising from:

user conduct
-
services performed by Security Personnel
-
violation of applicable laws
-
breach of these Terms
18. Limitation of Liability
To the maximum extent permitted by law, XGuard shall not be liable for:

acts or omissions of Security Personnel
-
service performance
-
personal injury or property damage arising from security services
XGuard’s total liability shall not exceed the fees paid to the Company for the transaction giving rise to the claim.
19. Arbitration and Dispute Resolution
Disputes shall first be resolved through good-faith negotiations.
If unresolved, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).
Users waive the right to participate in class actions or class arbitration.
20. Force Majeure
XGuard shall not be liable for failure to perform obligations due to events beyond its control, including:

natural disasters
-
war
-
government actions
-
internet outages
21. Termination
XGuard may suspend or terminate accounts at its discretion for safety, legal, or compliance reasons.
Users may terminate their account at any time.
22. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, except where mandatory consumer protection laws require otherwise.
